We also advise clients on best practices to protect their intellectual property including confidential and proprietary information, know-how, and trade secrets.

Working with startups, we advise on the initial choice of entity, capital structure and finance options, prepare governance documents  and shareholder agreements, and advise on tax strategies. Working with our employment attorneys, we prepare employment contracts and policies.  We also prepare commercial contracts. As these companies grow into emerging companies, we assist with capital raises, and sometimes serve as outside general counsel.
