Andrea Paisley ~ Protecting Sellers.  A review of common issues that arise when representing a seller in a sales transaction and what a seller’s advisors can do to mitigate risk, maximize proceeds and assist with the sales process.

Katelyn Van Sickel ~ What Your Cap Table Says About You.  An explanation of capitalization tables and structures as a key point of reference for company investors and entity value in a potential transaction.

Peter Marmo ~ Tax Considerations for Partnerships.  Identify issues affecting partnerships involved in M&A transactions, including recent changes to tax laws.

Andrea Paisley & David Rae ~ Common Conflicts.  A discussion on questions and concerns in connection with a sale transaction, including state law concepts, tax and accounting concepts and business transition issues affecting buyers and sellers.

Elizabeth Harris ~ Employment Agreements & Restrictive Covenants.  Explain the characteristics and consequences of employment agreements and non-competition/non-solicitation provisions in sales transactions.

David Rae ~ After The Deal Closes.  A discussion on the various circumstances and disputes that arise after closing and continue the relationship and negotiations between buyer and seller.
